Partner Program Agreement

You refer medical, dental, veterinary and other practices to Lydoh using your referral link, and you may sell them your own services, such as setup, call forwarding, contact export, on-call configuration and integrations. Practices you refer become Lydoh's customers under our Terms of Service, are billed by us at our published prices, and use the service through Lydoh's dashboard, apps and emails. You may present the service to practices under your own brand only as described in section 8. Your services are between you and the practice: you price them, invoice for them and are responsible for them.

You must be at least 18, able to bind the business you join for, and located in the United States or Canada. Joining is free. We may review, decline or hold any application, including through the same fraud checks we apply to customer signups, and we may ask for information to verify who you are.

Your referral link (any lydoh.com address with your ?ref= code, or your short /p/link) places a cookie in the visitor's browser. A practice is attributed to you only if its Lydoh workspace is created within 90days of the click, in the browser that clicked. If a practice clicked another partner's link first, the first partner is credited. We are not responsible for referrals that are not recorded because a visitor blocked or cleared cookies, used a different browser, or signed up some other way. Our records decide attribution.

Practices that sign up through your link receive a 30-day free trial in place of our standard trial.

For each invoice a referred practice pays, you earn 10% of the plan subscription amount on that invoice: the price of the Lydoh Frontdesk or Lydoh Personal plan, after any discount applied to it. Taxes, usage or overage charges, and any other charges are excluded. Commission recurs for each paid invoice for as long as the practice keeps paying, while you remain an active partner.

You also earn a one-time $100 bonus when a referred practice pays its second invoice with an amount greater than zero.

No commission or bonus is earned on: invoices of $0 (including trials); subscriptions billed through a third party such as Apple's App Store; your demo workspace; or any self-referral under section 7.

Every commission and bonus is held for 60 days from the payment that earned it, then becomes payable. If the invoice is refunded (in whole or in part) or charged back, its commission is reversed. If that leaves the practice with fewer than two paid invoices while the bonus is still on hold, the bonus is reversed too. If a commission that was already paid to you is later refunded or charged back, we may deduct it from your future payouts.

We pay payable balances monthly, by ACH, check or another method we agree with you by email. We do not collect bank details through the partner dashboard. Before your first payout you must provide a completed IRS Form W-9 (or the equivalent form we ask for), which we store privately. We may withhold payment until we have it. You are responsible for your own taxes; where required, we will issue a Form 1099. Payout amounts are in US dollars.

You will not:

• Refer yourself: no commission is paid on a workspace you or your company own or control, including one whose owner shares your company's email domain, one your own sign-in belongs to, or one paid for with a card used on a workspace you own.
• Bid on “Lydoh” or confusingly similar terms or misspellings in search, social or other advertising, or use them in ad copy, display URLs or domain names.
• Send spam: no unsolicited bulk email, texts or calls, no purchased or scraped lists, and nothing that breaks CAN-SPAM, the TCPA or similar laws.
• Misrepresent Lydoh, its prices or its capabilities, including claiming that it gives medical advice, triages patients or replaces emergency services, or present yourself as Lydoh's employee or agent.
• Use cookie stuffing, forced clicks, or any other way of attributing signups you did not refer.

A referral that breaks these rules earns nothing, and we may reverse its earnings and end the partnership under section 12.

While you are an active partner, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Lydoh name, and the phrase “powered by Lydoh”, to refer practices to the service and to present it under a brand name we have approved, in the form “[your brand], powered by Lydoh”. Under this licence:

• Wherever your brand name or logo is shown in connection with the service, “powered by Lydoh” must be shown with it. You may not offer the service unbranded or with Lydoh's name removed or hidden.
• You may not say or imply that you built, own or operate the service, or that Lydoh is your product.
• You may not register or use any domain name, social media handle, business name or trademark that contains “Lydoh” or anything confusingly similar.
• Your brand name and logo must be your own or licensed to you, and must not infringe anyone else's rights. You grant us a licence to display them on your landing page, partner kit and directory listing.

Brand names, logos and listings are shown only after our approval. We may decline, or withdraw our approval of, any brand name, logo or listing at any time, and you will stop using a brand name or logo once we withdraw it. All goodwill in the Lydoh name belongs to us. This licence ends when this agreement ends.

Referring a practice gives you no access to its account or data. Your dashboard shows only each referred practice's name and billing status. If a practice gives you access to its account to help it, that is an arrangement between you and the practice, and you are responsible for any agreement it requires, including a business associate agreement where HIPAA applies. We are not a party to it.

While you are an active partner you may request one free demo workspace to show Lydoh to clients. It is subject to the same limits as a trial, earns no commission, and may be suspended or removed at any time, including when your partnership ends. If you opt in to the partner directory, you grant us a licence to publish the listing you submit; listings appear only after our review, and we may edit or remove them.

You and Lydoh are independent contractors. Nothing in this agreement creates an employment, agency, franchise, joint venture or partnership relationship in the legal sense, and neither of us may bind the other. Beyond section 8, you may use the materials in your partner kit to describe Lydohaccurately, and for no other purpose.

Either of us may end this agreement at any time, for any reason, by email. We may suspend your account immediately if we suspect fraud or a breach of section 7. When it ends, your link stops crediting referrals and no new commission is earned. Earnings that were already on hold or payable and were earned in compliance with this agreement will be paid on the normal schedule, subject to section 5, unless the agreement ended for your breach or fraud.

We may change this agreement, including commission rates and program rules, with 30 days' notice by email or in your partner dashboard. Changes apply to invoices paid after they take effect. If you continue in the program after that, you accept them; if you do not, you may end the agreement.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits. Our total liability under this agreement will not exceed the commissions paid or payable to you in the twelve months before the claim.
